License Agreement of “Dr. Rock IV” Cloud Service

You can download it by agreeing to the terms of use.
In order to use this software, Dr. Rock IV cloud service license agreement is necessary.
Without a license agreement this software can not be activated.

This Agreement is a legal written document entered into an arrangement of Cloud Service (hereinafter, referred to as “This Service”) for Dr. Rock IV between the Customer and ROCK PAINT CO., LTD. (hereinafter referred to as “ROCK PAINT”). This Service includes software, written document, such as manual, provided with the software, electronic document, and each devices such as ROCKON.
The Customer may use This Service only if agree to the contents of this Agreement. It shall be deemed, however, that the Customer agrees to this Agreement the time from if installing the software to use This Service. 
ROCK PAINT may amend this Agreement at any time without customer’s consent. In this instance, ROCK PAINT shall notify the amended of this Agreement by posting notice on the ROCK PAINT’s WEB site or by the other method to the Customer and the Customer shall be deemed to agree to the amended Agreement at the time of using This Service after the notice.

Article 1 (License)
1. ROCK PAINT hereby grants to the Customer non-exclusive, non-sublicensable and non-transferable right to use This Service in accordance with this Agreement. 
2. The Customer may use This Service by installing the software in the designated single computer by the Customer with setting serial number provided by ROCK PAINT. 
3. The Customer shall be responsible for any expenses of equipment or others incurred by to use This Service.

Article 2 (Restriction of the right)
1. The Customer shall not transfer This Service and the serial number stipulated in the preceding Article to the third party, and shall not sublicense, lend, lease, and any other method to use This Service to the third party, and shall not place the right of mortgage to these.
2. If the third party uses the Customer’s serial number to use This Service, ROCK PAINT may deem this third party’s act to have been conducted by the Customer. 

Article 3 (This Service)
1. ROCK PAINT may change This Service without any advanced notice to the Customer.
2. The Customer shall agree to be disclosed the various data made by the Customer through This Service to the other users of This Service. Also, the Customer shall not claim any right of such data.
3. ROCK PAINT shall make reasonable efforts not to identify the Customer when the data in the preceding section published to the other users.
4. Regarding refinishing application for vehicles equipped with advanced driving support systems, since refinishing application to the bumper equipped with advanced driving support systems that use millimeter-wave radar may affect radar performance, please be sure to follow the instructions of the car manufacturer.
If it is possible to repair from color base, use dedicated color formula data in principal. In this case, the paint types that can be applicable are limited, and color adjustment is not possible. For details, please check the comments of the corresponding color formula.

Article 4 (Intellectual property right)
All rights (Ownership, Intellectual property rights such as copyright) relating to This Service shall belong to ROCK PAINT or the third party who has the right. Any other right except the right licensed in this Article 1 shall not be transferred and granted to the Customer.
 
Article 5 (Prohibited Acts)
　The Customer shall not act corresponding to or possibly corresponding to the following when using This Service.
(1) The act which infringes the right or interests of ROCK PAINT or the third party.
(2) The act which violates laws and regulations or against public order and morals.
(3) The act of reproduction, adaptation, modification, reorganization of all or part of This Service, or reverse engineering, decompiling, disassembling, analysis of the source code. 
(4) The act of selling as same as or similar service to This Service to the third party.
(5) The act which breaches this Agreement.
(6) Any other acts which considered by ROCK PAINT unsuitable to use This Service.

Article 6 (Suspension and Abolition of This Service)
1. ROCK PAINT may suspend all or part of This Service without any notice to the Customer when necessary.
2. ROCK PAINT may abolish all or part of This Service when falling under either of the following sections. In addition, this Agreement shall be terminated from the date of abolition if all of This Service is abolished.
(1) The case that notified to the Customer by 2 months before abolition date.
(2) The case that unable to provide This Service to the Customer by force majeure such as natural disaster etc.
3. ROCK PAINT shall not be responsible for any loss or damage of the Customer arising in relation to the above two sections.

Article 7 (Disclaimer)
1. ROCK PAINT shall not guarantee accuracy, newness, usefulness, integrity, other conformity of particular purpose, of This Service or the information provided through This Service, and shall not responsible for the content or no-description in This Service.
2. ROCK PAINT shall not responsible for even if all or part of This Service is not properly work or not available due to Customer’s computer problem, network problem, or any other causes.
3. Upon using This Service, ROCK PAINT shall not responsible for even if Customer’s computer infected by computer virus or others.
4. ROCK PAINT shall not responsible for any loss or damage (including but not limited to Loss of profit or information, interruption of business, or any other loss) of the Customer or the third party arising by unable to use all or part of This Service.
5. Even if the case that ROCK PAINT has to liable to Customer’s damage occurs, amount of liability shall be limited to the fee of using This Service.
6. If a third party uses this service or if This Service is used without setting the serial number specified in Article 1, Paragraph 2, ROCK PAINIT shall not guarantee the use and normal operation of This Service.

Article 8 (Termination)
1. ROCK PAINT shall have the right to terminate this Agreement immediately without any notice if the Customer shall breach any of the terms and conditions under this Agreement or if there is a similar event. In addition, the provisions of this paragraph shall not prevent claims for damages by ROCK PAINT.
2. The Customer shall have the right to terminate this Agreement at any time by written notice of termination.

Article 9 (After the Termination)
1. The Customer shall stop using This Service within 1 month from the date of the termination of this Agreement by Article 8, and shall destroy all related items to use This Service, such as software and its reproductions, serial number or others, and shall delete completely from storage medium of computer. Furthermore, the Customer shall submit written certification of destroy and delete to ROCK PAINT within 1 month from the date of termination.
2. Whatsoever reason, even if the case that This Service becomes unavailable, ROCK PAINT shall not have any responsibility for any damages of the Customer or the any other third party suffered. Furthermore, ROCK PAINT shall not refund any compensation to use This Service.

Article 10 (Personal Information)
1. ROCK PAINT shall collect Customer’s information for the purpose of bellows.
(1) To confirm correct user for This Service
(2) To reply inquiry from the Customer
(3) To improve quality and function of This Service
(4) To investigate and correspond the fault or defects of This Service
(5) To distribute the information related to This Service.
2. Customer’s information shall be managed by privacy policy published on ROCK PAINT’s WEB site.

Article 11 (Confidentiality)
 The Customer shall keep the information related to This Service, not publicly known, and serial number as confidential, and shall not disclose or leak to the any other third party.

Article 12 (Exporting to other country)
1. ROCK PAINT shall not guarantee use of This Service out of Japan.
2. The Customer shall not use This Service for the development, design, production, storage, or use of a mass destruction weapon or conventional weapons.
3. The Customer has all responsibility to use This Service out of Japan, and shall use This Service by complying with export control law, or any other laws, rules or regulations of Japan or any other country.

Article 13 (Miscellaneous)
1. This Agreement shall be governed and construed in accordance with the laws of Japan.
2. Even if part of this Agreement becomes invalid by laws and so, all Articles shall remain being valid except concerned Article.
3. The Customer and ROCK PAINT shall be settled by mutual consultation between parties in good faith to the matters not defined in this Agreement, or the Article given rise to doubt.
4. For all disputes which may arise relating to or in connection with this Agreement, the court having jurisdiction over the head office location of ROCK PAINT shall be the exclusive jurisdiction of the courts.
5. The provision of Article 4, 7, 9, 11, 12 and 13 will survive any termination of this Agreement by whomsoever and due to whatsoever reason.
